Please read these Terms carefully. By using the Site, submitting a form, replying to us, or engaging us to provide Services, you agree to these Terms. If you do not agree, please do not use the Site or the Services.

1. Agreement & Eligibility

By using the Site or the Services, you represent that you are at least 18 years old and that you have the legal authority to enter into these Terms on behalf of yourself or the business you represent. If you are agreeing on behalf of a business, "you" includes that business.

2. Our Services

BuildShop provides website creation and digital solutions for small and local businesses. Depending on what we agree, the Services may include:

The specific scope, deliverables, timeline, and price of any project will be described in a quote, proposal, invoice, or written message we send you and you accept. Anything not expressly included is out of scope. We may decline or discontinue work at our discretion, and we may use subcontractors or third-party tools to deliver the Services.

3. Preview & Demonstration Websites

To help business owners see what is possible, we may create a preview or demonstration website for a business using publicly available business information (such as business name, address, phone number, public hours, service categories, and publicly posted reviews). A preview site is provided for demonstration purposes only and is not represented as the business's official website.

If you own a business and do not want a preview site or any further contact, email hello@buildshop.store. We will remove the preview page and stop contacting you, normally within a few business days and in any event within 30 days. You do not need to give a reason, and requesting removal does not affect any other rights you may have.

To stop text messages: reply STOP to any message from us. Opt-out requests are honored immediately β€” apart from a single confirmation message, no further text messages are sent. See Section 7.

4. Customer Responsibilities

To deliver the Services, we need accurate information and your cooperation. You agree that you will:

You are responsible for the content published on your website and for the products and services you sell. We are not responsible for disputes between you and your customers.

5. Fees, Quotes & Payment

6. SMS Communication Terms

BuildShop communicates with customers and business owners by text message (SMS) where permitted. The following terms apply to that program ("BuildShop Service Messages"):

We send text messages only to people who affirmatively opt in. You agree to receive SMS messages from BuildShop related to your service inquiries, customer support, and business communications when you check the SMS consent box on one of our forms, or when we obtain your separate, express authorization for that messaging. Providing your phone number alone does not enroll you in our text message program.

7. How to Opt Out

8. Intellectual Property

9. Third-Party Content & Data

Websites and services we build may include third-party content or data, such as Google Maps information, publicly posted reviews and ratings, stock images, fonts, form and messaging tools, and analytics. Where you supply such content, you confirm you have the right to use it. Where we obtain information from public sources, our use is subject to those providers' terms; we do not guarantee that third-party data (including review counts, ratings, or hours) is complete or current, and you are responsible for verifying the accuracy of information published about your business. Third-party services may change, suspend, or discontinue features at any time.

10. Domains, Hosting & Availability

If we host your website, we will use reasonable efforts to keep it available, but we do not guarantee uninterrupted or error-free operation and we do not provide a service-level uptime commitment unless we agree to one in writing. Availability may be affected by maintenance, network conditions, third-party providers, or events outside our control. Unless we agree otherwise, domains are registered in the customer's name and are the customer's responsibility to renew. If you decide to move your website to another provider, we will reasonably cooperate; data migration beyond basic export may be chargeable.

11. Disclaimers

The Site and the Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, BuildShop disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We design and build websites, but we do not and cannot guarantee any specific business outcome. We make no warranty that your website will achieve a particular ranking, be included in any search engine or AI assistant's results, generate a specific number of visitors, leads, calls, or sales, or produce any particular revenue or return on investment.

You are responsible for reviewing and approving all content before it is published, and for complying with the laws, licensing, and advertising rules that apply to your industry.

12. Limitation of Liability

To the fullest extent permitted by law, BuildShop and its officers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, customers, data, goodwill, or business opportunity, arising out of or relating to the Site or the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Services will not exceed the total amount you paid to BuildShop for the Services giving rise to the claim in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless BuildShop and its officers, employees, and contractors from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) content, materials, or information you provide or approve; (b) your use of the Services in violation of these Terms or applicable law; (c) your own communications with your customers, including text messages and marketing you send; or (d) your products and services.

14. Termination & Suspension

Either party may end these Terms by written notice. We may also suspend or terminate access to the Site or Services immediately if you materially breach these Terms, fail to pay amounts due, or use the Services in a way that creates legal risk or harm to us or others. On termination, you remain responsible for amounts due for work performed and costs incurred, and we may take down a website we host after giving you reasonable notice. Sections that by their nature should survive termination β€” including intellectual property, disclaimers, limitation of liability, indemnification, and governing law β€” will survive.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version on this page and update the "Last updated" date. If we make material changes, we will provide reasonable notice, such as a notice on the Site or an email. Changes apply to your use of the Site and Services after the effective date of the update. If you continue to use the Services after an update, you accept the revised Terms.

16. Governing Law & Disputes

These Terms and any dispute arising out of or relating to them, the Site, or the Services are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles.

Before starting any formal proceeding, we ask that you contact us at hello@buildshop.store so we can try to resolve the issue informally within 30 days. If we cannot resolve it, the dispute will be submitted to the competent courts located in Beijing, China, and each party consents to the jurisdiction of those courts. Nothing in this section prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
